These Terms of Service (the “Terms”) govern your access to and use of the products and services provided by Vision Tech B.V. (“NimeScan,” “we,” “our,” or “us”), including our websites, mobile applications, and other online platforms and services (collectively, the “Services”).
Please also review our Privacy Policy for information on how we collect, use, and disclose information about you.
By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Agreement to Terms
We are Vision Tech B.V., a company registered in Amsterdam, the Netherlands (“Company,” “we,” “us,” or “our”).
We operate the NimeScan website and mobile application, as well as any other related products and services that refer or link to these Terms (collectively, the “Services”).

These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Vision Tech B.V., concerning your access to and use of the Services. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
We reserve the right to make changes to these Terms from time to time. We will alert you of any material changes by updating the “Last Updated” date of these Terms and, where appropriate, by providing additional notice such as an email or in-app notification. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes.
2. Our Services
The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction. Users who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, or similar frameworks). If your interactions would be subject to such laws, you may not use the Services.
3. Eligibility and Account Registration
Eligibility
To use the Services, you must be at least 16 years old. If you are under the legal age of majority in your jurisdiction, you may only use the Services with the involvement and consent of a parent or legal guardian. If you are a parent or legal guardian and your child uses the Services, these Terms apply to you and you are responsible for their use.
Account Registration and Security
Many features of the Services require you to create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information as necessary
- Keep your login credentials secure and confidential
- Notify us immediately at support@nimescan.com if you suspect unauthorised use of your account
You are responsible for all activities that occur under your account. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, obscene, or otherwise objectionable.
If you provide information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.
4. Subscriptions and Payment
The Services include both free and paid features. Paid subscriptions (“NimeScan Premium”) provide access to premium features and functionality.
Recurring Subscriptions
When you purchase a recurring subscription, it will automatically renew at the end of each billing cycle (monthly, yearly, or other period selected) unless you cancel at least 24 hours prior to the renewal date. You authorise NimeScan to charge your designated payment method for the applicable subscription fees, taxes, and any other charges.
Payment Methods
We accept payment via Apple Pay and Google Pay. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update payment information so that we can complete your transactions.
If we cannot charge your payment method, you remain responsible for all unpaid amounts and we may suspend or terminate your access to NimeScan Premium.
Price Changes
We may change subscription pricing at any time. Material changes will be communicated in advance. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.
5. Free Trial
We may offer a free trial to new users who register with the Services. At the end of the free trial period, your subscription will automatically convert to a paid recurring subscription at the then-current rate, unless you cancel before the trial period ends.
Eligibility for free trials is determined solely by NimeScan and may be limited to new users or specific promotional groups. We reserve the right to modify or discontinue free trial offers at any time.
6. Cancellation and Refunds
Cancellation
You can cancel your subscription at any time through your account settings in the NimeScan app, or by contacting the relevant app store (e.g., Apple App Store, Google Play Store) if you subscribed through their platform. Cancellation will stop future billing, but you will continue to have access to premium features until the end of the current billing period.
Refunds
Except where required by applicable law, NimeScan does not offer refunds or credits for partially used subscription periods. If you are unsatisfied with the Services, please email us at support@nimescan.com.
7. Intellectual Property Rights
Our Intellectual Property
We are the owner or licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).
Our Content and Marks are protected by copyright and trademark laws and treaties in the Netherlands and around the world. The Content and Marks are provided through the Services “AS IS” for your personal, non-commercial use only.
Limited Licence
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to:
- Access and use the Services for your personal, non-commercial purposes
- Download and install a copy of the NimeScan mobile application on a device you own or control
This licence automatically terminates if you breach these Terms. No part of the Services may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
Your Submissions
By sending us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use for any lawful purpose, without acknowledgment or compensation to you.
8. User Content and Submissions
The Services may allow you to submit, post, or upload content and materials (“User Content”). You retain ownership of your User Content, but by making it available through the Services, you grant NimeScan a worldwide, royalty-free, transferable, sublicensable, non-exclusive, perpetual, and irrevocable licence to host, store, reproduce, modify, adapt, publish, distribute, publicly display, and otherwise use such User Content for the purpose of operating, providing, maintaining, and improving the Services.
When you create or submit any User Content, you represent and warrant that:
- Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
- You have all necessary rights and permissions to submit the User Content and grant the licence described above
- Your User Content is not false, inaccurate, misleading, defamatory, obscene, or otherwise objectionable
- Your User Content does not violate any applicable law or regulation
You are solely responsible for your User Content and agree to indemnify us for any losses arising from a breach of these warranties.
9. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:
- Systematically retrieve data or content from the Services to create or compile a collection, database, or directory without our written permission
- Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information
- Circumvent, disable, or interfere with security-related features of the Services
- Use any information obtained from the Services to harass, abuse, or harm another person
- Make improper use of our support services or submit false reports of abuse or misconduct
- Use the Services in a manner inconsistent with any applicable laws or regulations
- Upload or transmit viruses, Trojan horses, or other material that interferes with the Services
- Engage in any automated use of the system, such as using scripts, bots, data mining, robots, or similar tools to access or extract data
- Attempt to impersonate another user or person
- Interfere with or create an undue burden on the Services or connected networks
- Copy, adapt, or reverse engineer any software comprising the Services, except as permitted by applicable law
- Use the Services to advertise or offer to sell goods and services without our authorisation
- Sell or otherwise transfer your account or profile
- Scrape, crawl, harvest, or use any automated system to access, copy, or extract data from the Services without prior written consent
NimeScan reserves the right to monitor, review, and remove any content or restrict access to any account at any time if we determine a violation of these Terms has occurred.
10. Third-Party Websites and Content
The Services may contain links to third-party websites or display content from third parties (“Third-Party Content”). We do not investigate, monitor, or check Third-Party Content for accuracy, appropriateness, or completeness, and we are not responsible for any Third-Party Content or websites accessed through the Services.
If you leave the Services and access third-party websites, you do so at your own risk and should review the applicable terms and privacy policies of those websites. Any purchases made through third-party websites are exclusively between you and the third party, and we take no responsibility for such transactions.
11. Social Media Logins
The Services offer you the ability to register and log in using third-party social media accounts (such as Google or Facebook). If you choose to do so, we will receive certain profile information from your social media provider, which may include your name, email address, profile picture, and other information you make public.
We will use this information only for the purposes described in these Terms and our Privacy Policy. We do not control and are not responsible for how your social media provider uses your information.
12. Services Management
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Terms
- Take appropriate legal action against anyone who violates the law or these Terms
- Refuse, restrict access to, or disable any User Content or portion thereof, in our sole discretion
- Remove from the Services any files or content that are excessive in size or burdensome to our systems
- Otherwise manage the Services to protect our rights and property and to facilitate proper functioning
13. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to be bound by our Privacy Policy. If you access the Services from outside the Netherlands, you acknowledge that your data may be transferred to and processed in the Netherlands or other jurisdictions where our service providers operate.
14. Term and Termination
These Terms remain in full force and effect while you use the Services.
Termination by Us
We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including for breach of these Terms or any applicable law. We may terminate your account and delete any content or information you posted at any time, without warning.
Termination by You
You may cancel your account at any time by contacting us at support@nimescan.com. Note that cancelling your account does not automatically cancel any active subscriptions; you are responsible for cancelling subscriptions separately (see Section 6).
Effects of Termination
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability) will remain in full force and effect.
15. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems requiring maintenance, resulting in interruptions, delays, or errors. Nothing in these Terms obligates us to maintain the Services or supply any corrections, updates, or releases.
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranties or representations about the accuracy or completeness of the Services’ content and assume no liability for any errors, mistakes, or inaccuracies of content, personal injury or property damage resulting from your use of the Services, unauthorised access to our servers, interruption of transmission, bugs or viruses transmitted through the Services, or any errors or omissions in content.
Some jurisdictions do not allow the exclusion of certain implied warranties, so the above exclusions may not apply to you in those jurisdictions. In such cases, our liability is limited to the greatest extent permitted by law.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NIMESCAN, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any cause whatsoever, regardless of the form of action, will at all times be limited to the greater of: (a) the amounts you have paid to NimeScan for use of the Services during the twelve (12) months prior to the cause of action arising; or (b) fifty euros (€50).
Certain laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
18. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of or related to:
- Your use of the Services
- Breach of these Terms
- Any breach of your representations and warranties set forth in these Terms
- Your violation of the rights of a third party, including intellectual property rights
- Any harmful act toward any other user of the Services
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.
19. Governing Law and Dispute Resolution
Governing Law
These Terms and your use of the Services are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
Informal Resolution
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a “Dispute”), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating formal proceedings. Such informal negotiations commence upon written notice from one party to the other.
Jurisdiction
If a Dispute cannot be resolved informally, the competent courts of Amsterdam, the Netherlands, shall have exclusive jurisdiction, unless mandatory provisions of consumer protection law in your jurisdiction require otherwise.
Consumer Rights (EEA/UK)
If you are a consumer located in the European Economic Area, the United Kingdom, or Switzerland, nothing in these Terms shall deprive you of any mandatory consumer protection rights under the laws of your country of residence. You may also bring proceedings in the courts of your country of residence.
For EU consumers, you may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
International Users
If you are located in a jurisdiction that requires consumer contracts to be governed by local law or prohibits exclusive jurisdiction outside your jurisdiction, then these Terms and any disputes will be governed by your local laws and adjudicated in your local courts to the extent required.
20. Electronic Communications
By using the Services and providing your email address, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
You consent to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed via the Services.
21. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and NimeScan regarding the Services and supersede all prior understandings or agreements.
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
We may assign any or all of our rights and obligations to others at any time. You may not assign or transfer your rights under these Terms without our prior written consent. We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control (force majeure).
There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms. These Terms will not be construed against us by virtue of having drafted them.
Section headings are for convenience only and have no legal effect. These Terms do not create any third-party beneficiary rights except as expressly provided (see Section 22 regarding Apple).
22. Apple iOS Terms
The following provisions apply if you access or use the NimeScan mobile app on an Apple Inc. (“Apple”) branded device:
- These Terms are concluded between NimeScan and you only, not with Apple. NimeScan is solely responsible for the app and its content.
- The licence granted to you is limited to a non-transferable licence to use the app on Apple-branded products you own or control, as permitted by the App Store Terms of Service.
- NimeScan is responsible for providing maintenance and support for the app. Apple has no obligation to furnish any maintenance or support services.
- NimeScan, not Apple, is responsible for any product warranty claims. In the event of a failure to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
- NimeScan, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, regulatory compliance claims, and consumer protection claims.
- In the event of any third-party claim that the app infringes intellectual property rights, NimeScan, not Apple, will be solely responsible for investigation, defence, settlement, and discharge of such claim.
- You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government prohibited or restricted parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you as a third-party beneficiary.
